1. Acceptance of These Terms

These Terms of Service govern your access to and use of this website and the information and services made available through it. The website is operated by HeZe RongYun Network Technology Co., Ltd. under the CloudFusion name, which is the systems design and integration practice described throughout the site. By visiting the website, sending us a message or using any part of it, you agree to be bound by these terms. If you do not agree with any part of these terms, please stop using the website.

These terms apply to all visitors, clients, prospective clients and anyone else who uses the website. They do not replace a signed engagement agreement. Where the Company and a client have signed a separate agreement for a project, that agreement will govern the project, and these terms will continue to apply to the general use of the website.

2. About the Company

HeZe RongYun Network Technology Co., Ltd. works in the field of computer systems design and related professional, scientific and technical services. The Company is located at No 57, Zhaozhuang Village, Gaozhuang Town, Mudan District, HeZe City - 274000, China (CN), and it can be reached by email at fusion@cloudfusion.lol or by telephone at +13188678542.

In these terms, the words we, us and our refer to the Company, and the words you and your refer to the person using the website. The word CloudFusion refers to the brand under which the Company presents its systems design work. References to services mean the professional activities that the Company offers, including the six merge services described on the services page.

3. Use of the Website

You may use the website for lawful purposes and in a way that does not interfere with the use of the website by anyone else. You may read the pages, follow the links and send us a message through the contact form. You may print or save a copy of a page for your own reference, provided that you do not remove any notice of ownership.

You agree not to use the website in any way that could damage, disable, overload or impair it, or that could interfere with any other party using it. You agree not to attempt to gain unauthorised access to any part of the website, to any server on which it is hosted or to any connected system. You agree not to introduce viruses, malicious code or any other harmful material. You agree not to use automated tools to scrape or copy the content of the website in bulk without our written permission.

We may suspend or restrict access to the website at any time, including for maintenance, security or operational reasons. We will try to give reasonable notice of planned interruptions, but we do not guarantee that the website will always be available.

4. Scope of Services

The website describes the professional services of the Company. These include Merge Sheet Bays, Layer Note Runs, Client Letter Desks, Stack Windows, Uptime Review Rounds and Tower Sittings, together with the related planning, integration and support work that the Company provides. A description of a service on the website is not an offer that can be accepted automatically. An engagement begins only when the Company and the client have agreed the scope, the schedule, the fees and the responsibilities in writing.

We may decline a request for work if we do not have the skills, capacity or legal ability to carry it out, or if the work conflicts with these terms or with applicable law. We may also apply eligibility conditions to certain services, such as requiring a signed agreement or a deposit before a Stack Window is booked.

5. Client Responsibilities

To deliver good work, we need cooperation from the client. When you engage us, you agree to provide accurate and timely information about your systems, to name a contact person who can make decisions, to give us access to the systems and records that the work requires and to tell us promptly about anything that could affect the project.

You agree that any information you provide about a third party system, record or account is provided lawfully and with the consent of the person or organisation that controls it. You agree that you are responsible for the security of the credentials you share with us and for changing them once the engagement ends. You agree to keep a current backup of your data and records where that is appropriate to the work.

If the client causes a delay by not providing information or access, the schedule and fees may need to be adjusted. We will raise such an issue as early as we can and discuss it with the client before any adjustment is made.

6. Fees, Invoices and Payment

Fees for our services are set out in the signed engagement agreement or in a written proposal that the client has accepted. Unless the agreement says otherwise, fees are quoted in the currency stated in the agreement and are exclusive of any taxes that may apply. The client is responsible for paying any taxes that are required by law in the client location.

We issue invoices at the times set out in the agreement, and payment is due within the period stated on the invoice. If a payment is late, we may charge interest at the rate permitted by law and we may suspend work until the account is brought up to date. We will always tell the client before we suspend work. Amounts already paid for work that has been delivered are not refundable except where these terms or the agreement provide otherwise.

7. Intellectual Property

The website and its content, including the text, layout, design, graphics, code and the CloudFusion name, are owned by the Company or are used by the Company with permission. These works are protected by copyright, trade mark and other laws. You may not copy, reproduce, republish, upload, post, transmit or distribute the content without our written permission, except for the limited personal use described in these terms.

Any materials that the client provides to us remain the property of the client. Any deliverables that we create for a client during an engagement are owned as set out in the engagement agreement, and in the absence of an express provision, the client receives a licence to use the deliverables for its internal business purposes upon full payment of the relevant fees. We retain ownership of our pre-existing tools, templates, notes and methods, which we may use for other clients in a way that does not disclose the confidential information of any client.

8. Confidentiality

Each party agrees to keep confidential the non-public information of the other party that it receives during an engagement. This includes technical details of a client stack, business plans, financial information, client names and any information that is marked as confidential or that a reasonable person would understand to be confidential.

A party may disclose confidential information if it is required to do so by law, by a court or by a regulator, provided that it gives the other party reasonable notice where the law permits. A party may also disclose confidential information to its employees, advisers and service providers who need it to carry out the engagement, provided that those people are bound by confidentiality obligations at least as protective as these terms. Confidentiality obligations continue after the engagement ends.

9. Third Party Content and Links

The website may contain links to websites and resources that are operated by third parties. These links are provided for convenience only. We do not control those websites, we do not endorse their content and we are not responsible for their accuracy, availability or privacy practices. If you decide to visit a linked website, you do so at your own risk and you should review the terms and privacy policy of that website.

Some of the services we deliver depend on third party platforms and tools. We choose these platforms with care, but we cannot guarantee their performance, availability or continued existence. Where a third party platform change affects an engagement, we will tell the client and agree a reasonable path forward.

10. Availability and Changes to the Website

We work to keep the website available and accurate, but we do not promise that it will be free from errors or interruptions. The website may be unavailable during maintenance, during a security response or because of an issue with a service provider. We may change, update or remove any part of the website at any time without prior notice.

Content on the website is provided for general information and may become out of date. It is not professional advice for a particular situation. If you need advice about your own systems, please contact our desk so that we can consider the details and give a proper answer.

11. Disclaimer of Warranties

To the fullest extent permitted by law, the website and its content are provided on an as available basis, without warranties of any kind, whether express or implied. We do not warrant that the website will meet your requirements, that it will be uninterrupted, timely, secure or error free, or that any information obtained through it will be accurate or reliable.

Nothing in these terms excludes or limits any warranty that cannot be excluded or limited by applicable law. Some jurisdictions do not allow the exclusion of certain warranties, so some of the exclusions above may not apply to you. Where a warranty cannot be excluded, it is limited to the minimum scope and duration permitted by law.

12. Limitation of Liability

To the fullest extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, loss of revenue, loss of data, loss of goodwill or business interruption, arising out of or in connection with the use of the website or the services, even if the Company has been advised of the possibility of such damages.

Where liability cannot be excluded by law, the total liability of the Company for any claim arising out of or in connection with the website or the services will not exceed, in the case of a website claim, the amount of any fees paid by you to the Company in the twelve months before the claim, and in the case of an engagement, the amount of the fees paid for the specific engagement to which the claim relates.

Nothing in these terms limits or excludes liability for fraud, for willful misconduct, for death or personal injury caused by negligence, or for any other liability that cannot be limited or excluded by law.

13. Indemnity

You agree to defend and hold harmless the Company and its directors, officers, employees and agents from and against any claim, demand, loss, damage, liability, cost or expense, including reasonable legal fees, arising out of your use of the website, your breach of these terms, or your infringement of the rights of any third party.

We will tell you promptly about any claim that is covered by this section and we will cooperate reasonably in the defence, at your expense. You may not settle a claim in a way that admits fault on the part of the Company or creates an obligation for the Company without our written consent.

14. Suspension and Termination

We may suspend or terminate your access to the website at any time if we believe that you have breached these terms, if we are required to do so by law or if we decide to discontinue the website. Where a suspension or termination is not required by law, we will try to give reasonable notice before it takes effect.

You may stop using the website at any time. Any provisions of these terms that by their nature should survive termination, including provisions about confidentiality, intellectual property, disclaimers, liability, indemnity and governing law, will continue to apply after your access ends.

15. Privacy

Our handling of personal information is described in the Privacy Policy, which forms part of these terms. By using the website, you acknowledge that you have read the Privacy Policy and that you understand how we collect and use personal information. If there is a conflict between these terms and the Privacy Policy on a matter of personal information, the Privacy Policy will govern.

You can review the Privacy Policy at any time through the link in the footer of this page. If you have a question about privacy that is not answered there, please write to fusion@cloudfusion.lol and we will help.

16. Governing Law and Disputes

These terms are governed by the laws of the place where the Company is established, without regard to conflict of law rules. Any dispute arising out of or in connection with these terms or the use of the website will be subject to the exclusive jurisdiction of the courts that have authority over the Companys registered address, unless the law of your location requires otherwise.

Before starting a formal proceeding, we encourage you to contact us so that we can try to resolve the matter directly. Many concerns can be settled through a short conversation, and we are always willing to discuss a fair outcome. If a dispute relates to an engagement, the dispute process in the signed engagement agreement will apply instead of this section.

17. Changes to These Terms

We may update these terms from time to time to reflect changes in our services, our practices or the law. When we make an update, we will revise the date at the top of this page. If the update is significant, we will take reasonable steps to let clients know. Your continued use of the website after an update means that you accept the updated terms.

If you do not agree with an update, you should stop using the website. Changes to these terms do not affect a signed engagement agreement unless the Company and the client agree to the change in writing.

18. General Provisions

These terms, together with the Privacy Policy and any signed engagement agreement, form the entire agreement between you and the Company about the website. If any part of these terms is found to be invalid or unenforceable, the rest of the terms will remain in full force and effect, and the invalid part will be replaced by a valid provision that comes closest to the original intent.

A failure by the Company to enforce a right under these terms is not a waiver of that right. You may not assign or transfer your rights or obligations under these terms without the written consent of the Company, but the Company may assign its rights to a successor in connection with a merger, acquisition or sale of assets. Nothing in these terms creates a partnership, joint venture or employment relationship between you and the Company.
